Creator Supply provides end-to-end merchandise development and management services.

Depending on the project, our services may include creative direction, product design, product sourcing, manufacturer sourcing, sampling, production coordination, quality control, packaging development, pricing strategy, e-commerce setup, launch preparation, fulfillment, inventory management, logistics, customer support and analytics.

The exact services included in each project will be described in the applicable project proposal or written agreement.

Any service, deliverable or additional work not included in the agreed project scope may require additional fees and may affect the project timeline.

If there is any conflict between these Terms and a project-specific written agreement, the project-specific agreement will take precedence for that project.

Projects may be divided into several stages, including concept development, design, product sourcing, sampling, production, packaging, store preparation and launch.

Creator Supply will request the Client's approval at key stages before proceeding.

The Client may choose their desired level of involvement. You may collaborate closely with us throughout the entire project or allow us to manage the process independently and only participate when important decisions require your approval.

Once a design, sample, product specification, packaging solution, store configuration or other project stage has been approved, Creator Supply may rely on that approval to proceed.

Changes requested after approval may result in additional fees, new sampling costs, production costs or delays.

Creator Supply will not make major changes to an approved project without informing the Client.

Each project is priced individually according to factors such as its scope, number and type of products, design complexity, materials, customization, quantities, packaging, production requirements and operational needs.

The applicable pricing will be communicated to the Client through a proposal, quotation or other written agreement before the relevant work begins.

A Launch Fee may be required to begin the project. This fee covers the initial preparation and management of the project and may include services such as creative development, sourcing, project coordination, e-commerce setup and launch preparation.

Unless otherwise agreed in writing, the Launch Fee becomes non-refundable once work on the project has begun.

Production costs, shipping costs, third-party costs and other expenses are not included in the Launch Fee unless expressly stated otherwise.

Prices are stated exclusive or inclusive of applicable taxes according to the information shown on the relevant quotation or invoice and the applicable tax status of Creator Supply

Production costs are calculated separately from the Launch Fee.

These costs may include manufacturing, blank products, materials, printing, embroidery, customization, labels, packaging, sampling, freight, customs or other costs directly related to producing the collection.

No full production order will be placed without approval of the relevant production cost and specifications.

Production may be funded in different ways depending on the project. The Client may choose to finance production upfront or, where appropriate, launch the collection using a pre-order model.

A pre-order model allows customer orders to be collected before full production begins and can therefore reduce or eliminate the need for the Client to advance the full production cost personally.

If the amount collected through pre-orders is insufficient to cover the required production costs or minimum quantities, the Client may be required to fund the remaining amount before production begins.

The selected production and funding structure will be agreed upon before launch.

Certain projects may include an ongoing profit-sharing arrangement between Creator Supply Co. and the Client.

The applicable percentage will be stated in the project proposal and may vary depending on the scope of services, operational responsibilities, financial structure and level of ongoing management required.

Unless a different calculation method is stated in the project agreement, the profit-share calculation will be based on Net Project Profit.

Net Project Profit means revenue actually received from customer sales, excluding or deducting, where applicable:

• VAT, sales taxes or similar taxes
• refunds and cancellations
• chargebacks and payment disputes
• discounts and promotional reductions
• payment processing fees
• manufacturing and product costs
• product packaging costs
• fulfillment costs
• shipping costs borne by the project
• customs or import costs
• e-commerce or marketplace transaction fees
• and other direct project costs specifically agreed between the parties

Advertising, creator compensation or unrelated business expenses will not be deducted unless expressly agreed in writing.

The applicable reporting period, profit-share payment frequency and calculation method will be specified in the project agreement.

Creator Supply will maintain reasonable records necessary to calculate the applicable profit share and provide the Client with appropriate visibility into project performance.

Payment schedules, amounts, milestones and payment methods will be stated in the applicable quotation, proposal or invoice.

Unless otherwise stated, payments must be made by the due date indicated on the invoice.

Creator Supply may require payments at specific project milestones, including before work begins, before sampling, before production or before certain third-party expenses are incurred.

If an amount remains unpaid after its due date, Creator Supply may suspend the project, production, fulfillment or delivery of project assets until the outstanding amount has been paid.

For professional clients, late-payment penalties apply from the day following the payment date shown on the invoice, without a prior reminder being required.

French B2B rules also require an indemnity of €40 for recovery costs in the event of late payment. The applicable penalty rate and payment conditions must appear in the contractual payment terms and invoices.

Any additional recovery costs exceeding the statutory fixed indemnity may be claimed where permitted by applicable law and supported by appropriate evidence.

Where sampling forms part of the project, Creator Supply may arrange one or more samples before full production.

Samples are intended to allow the Client to evaluate elements such as materials, sizing, colors, printing, embroidery, construction, packaging and overall product quality.

The Client must review the sample and communicate any requested changes before giving final approval.

Once the Client has approved a sample or production specification, Creator Supply may authorize production based on that approval.

Minor revisions may be included depending on the agreed project scope.

Significant changes, additional concepts, repeated revisions or modifications requested after approval may require additional fees.

If a requested change requires a new sample, new supplier work or modifications to an existing production order, all resulting costs may be charged to the Client after prior communication.

The Client retains ownership of any pre-existing brand names, trademarks, logos, designs, photographs, videos, content and intellectual property supplied to Creator Supply Co.

The Client confirms that it has the necessary rights and permissions to use any material supplied for the project.

Unless otherwise agreed, ownership of final project-specific creative deliverables created by Creator Supply transfers to the Client once all amounts relating to those deliverables have been paid in full.

Creator Supply retains ownership of its pre-existing methods, processes, templates, internal systems, know-how, tools and reusable assets.

Both parties agree to treat confidential information received during the project with reasonable confidentiality.

This may include business information, product plans, financial information, sales results, supplier information, manufacturing information, unreleased designs and launch strategies.

Creator Supply will not publicly identify the Client or publish confidential project information, private sales data or other sensitive information without authorization where confidentiality has been requested or agreed.

Any public case study or portfolio use involving identifiable Client information will require the necessary authorization.

The Client agrees to provide the information, files, feedback and approvals reasonably required to complete the project.

Information provided by the Client must be accurate and complete.

The Client is responsible for ensuring that any trademarks, artwork, logos, photographs, names, likenesses or other materials supplied to Creator Supply may legally be used for the intended purpose.

Creator Supply is not responsible for claims resulting from materials provided by the Client without the necessary rights or authorization.

The Client should provide approvals and feedback within a reasonable timeframe.

Delays caused by missing information, late approvals or changes requested by the Client may affect the originally estimated project timeline.

The Client is also responsible for notifying Creator Supply of any specific regulatory, certification, material, sustainability or production requirements that are essential to the project.

Creator Supply may work with independent manufacturers, suppliers, printers, logistics providers, fulfillment providers, carriers, software platforms and other third parties in order to provide the agreed services.

We select and coordinate third parties based on factors such as capabilities, product requirements, quality, reliability, price and availability.

Production and delivery dates provided before or during a project are estimates unless expressly guaranteed in writing.

Manufacturing and logistics may be affected by circumstances outside Creator Supply Co.'s reasonable control, including supplier delays, raw material shortages, transport disruption, customs procedures, carrier delays, strikes, governmental restrictions, natural disasters or other force majeure events.

Creator Supply will make reasonable efforts to manage such situations, communicate significant delays and identify appropriate alternatives where possible.

However, Creator Supply cannot guarantee the performance of independent third parties or be held responsible for delays or failures caused exclusively by circumstances beyond its reasonable control.

Where included in the agreed project scope, Creator Supply may coordinate or manage inventory, warehousing, order preparation, packaging, fulfillment, shipping and tracking.

Shipping availability, delivery times and pricing depend on the destination, selected carrier and fulfillment structure.

International orders may be subject to customs duties, import taxes or other charges imposed by the destination country.

The allocation of these charges will depend on the shipping model selected for the project.

Where customer support is included, Creator Supply may handle inquiries relating to orders, products, delivery, returns, exchanges, refunds and other after-sales matters.

Returns, refunds and exchanges will be managed according to the applicable store policies and legal requirements.

Creator Supply may update the Client regarding significant operational or customer-service issues affecting the project.

The precise division of responsibilities between Creator Supply, the Client and any fulfillment or logistics provider may be specified in the project proposal.

Either party may terminate a project where the other party commits a material breach of its obligations and fails to resolve that breach within a reasonable period after being informed of it.

If the Client cancels or terminates a project after work has begun, amounts already paid may remain non-refundable and the Client remains responsible for:

• work already completed
• approved expenses
• samples already ordered
• manufacturing commitments
• third-party fees
• non-cancellable purchases
• and other costs reasonably incurred for the project

Production orders that have already been confirmed with a manufacturer may be non-cancellable and non-refundable.

Creator Supply will perform its services with reasonable care. However, except where prohibited by applicable law, Creator Supply will not be responsible for indirect or consequential losses caused by events outside its reasonable control.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation would be prohibited by applicable law.

These Terms and the contractual relationship between Creator Supply and the Client are governed by French law.

In the event of a disagreement, both parties agree to first attempt to resolve the matter amicably and in good faith.

If no amicable resolution can be reached, the dispute will be submitted to the competent courts determined in accordance with applicable law.
